Terms and Conditions of Childcareworld.com

A. Welcome to Childcareworld.com, which provides its service to you and is subject to the following Terms of Service ("TOS"). From time to time and without notice to you, we may update Childcareworld.com. You can review the most current version of the TOS at any time on our website. When using Childcareworld.com services, you and Childcareworld.com shall be subject to posted guidelines or rules applicable to services, which may be posted from time to time. All guidelines or rules are hereby incorporated by reference into the TOS. If you are an advertiser with Childcareworld.com, please note that the TOS are different from Childcareworld.com.

B. Description of Services: Childcareworld.com currently provides users with access to several resources, including a variety of shopping services. You understand and agree that this service may include advertisements and that these advertisements are necessary for Childcareworld.com to provide this service. You also understand and agree that the service may include certain communications from Childcareworld.com such as service announcements, administrative messages and the Childcareworld.com News Bulletin. These communications are considered part of Childcareworld.com membership and registration. Unless explicitly stated otherwise, any new features that add to the current service, including the release of new Childcareworld.com properties, shall be subject to the current TOS. You understand and agree that this service is provided "AS-IS" and that Childcareworld.com assumes no responsibility for the time frame, omission and/or deletion, miss-delivery or failure to store any user communications or personalization settings. If you are an advertiser with Childcareworld.com, you agree to not use the service to harm minors in any way, post, email, upload, transmit or make available any material or content that is unlawful, threatening, obscene, racially or ethnically objectionable, or abusive. You also agree not to invade anyone's privacy, or collect or store any personal data of others. You also agree to not impersonate or represent yourself as an officer, employee or official of Childcareworld.com or falsely represent yourself or your affiliation to Childcareworld.com. Unauthorized advertising, junk mail, chain letters, or other unacceptable form of solicitation including "Spam" are strictly prohibited. You are aware that Childcareworld.com is not responsible for screening content, but that Childcareworld.com and its designees shall have the right to refuse or move any content that we feel is inappropriate or violates the TOS of Childcareworld.com.

E. International Use: You agree to comply with all laws, rules and regulations regarding the transmission of all data exported from the United States or country in which you reside. The Internet is global in nature; therefore, you agree to comply with all local rules regarding online conduct and acceptable content.

F. Ownership claims: Childcareworld.com does not claim ownership of the content you submit or make available to us. Please keep in mind that in submitting content for inclusion on publicly accessible areas of the Childcareworld.com website, you are granting Childcareworld.com world-wide, royalty free and non-exclusive license to reproduce the article in it's entirety.

I. Further, you agree that all terminations for cause shall be made in Childcareworld.com's sole discretion and that Childcareworld.com shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to Childcareworld.com.

You further acknowledge and agree that the content contained in sponsor advertisements or copyrights, trademarks, service marks, patents or other proprietary rights and laws protect information presented to you through Childcareworld.com or advertisers. Except as expressly authorized by Childcareworld.com or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Childcareworld.com or the Software, in whole or in part. You agree not to access Childcareworld.com by any means other than through the interface that is provided by Childcareworld.com for use in accessing the Service.

P. Childcareworld.com's Rights: You acknowledge and agree that Childcareworld.com and any necessary software used in connection with Childcareworld.com ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that the content contained in sponsor advertisements or copyrights, trademarks, service marks, patents or other proprietary rights and laws protect information presented to you through Childcareworld.com or advertisers. Except as expressly authorized by Childcareworld.com or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Childcareworld.com or the Software, in whole or in part. You agree not to access Childcareworld.com by any means other than through the interface that is provided by Childcareworld.com for use in accessing the Service.

Q. Liability Limitations: It is understood and agreed that Childcareworld.com shall not be liable for any direct or indirect damages for loss of profits, goodwill, data, other intangible losses, the cost of procurement of these products or services resulting from receiving goods, products or services through or from Childcareworld.com.

R. This agreement also governs your use of Childcareworld.com, and supercedes any prior agreements between you and Childcareworld.com. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. The TOS and the relationship between you and Childcareworld.com shall be governed by the laws of the State of Arizona without regard to its conflict of law provisions. You and Childcareworld.com agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Maricopa Arizona. The failure of Childcareworld.com to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of Childcareworld.com or the TOS must be filed within one year after such claim or be forever barred.
